The Memorandum of Association (or just 'memorandum') is a document which states the company's name, the registration number, the type of company, the authorised share capital, the objectives of the company and the company's original subscribers. This information in this document relates to external stakeholders, and a breach could result in action being taken against the company.

The document is different to the Articles of Association which manage the company's internal affairs. In October 2008, the structure of the memorandum will change under the rulings of the new Companies Act 2006, they will simply outline basic information about the company. Any objectives of the company will be declared in the Articles, meaning that any breach would be a matter for internal action by Subscribers.
